Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Uposham telehealth service — our website at https://uposham.com, the patient and doctor dashboards at app.uposham.com, the in-chat assistant (including on Facebook Messenger), and related booking, video, and prescription features (collectively, the “Service”), operated by Uposham (“we”, “us”, “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Please also read our Privacy Policy, which explains how we handle your information.

1. Who can use the Service

You must be at least 18 years old and able to form a binding contract to use the Service on your own behalf. You may use the Service for a minor (for example, your child) only as their parent or legal guardian, and you are responsible for the information and consent you provide on their behalf. By using the Service you confirm that the information you provide is accurate and that you are legally permitted to use it.

2. Not for emergencies

The Service is for non-emergency telehealth consultations only. It is not designed for medical emergencies. If you believe you are experiencing a medical emergency, call your local emergency number or go to the nearest hospital immediately. Do not use the Service to request emergency or urgent care.

3. The Service and the nature of care

Uposham is a platform that connects patients with licensed doctors for remote consultations, and provides tools for booking appointments, conducting video visits, issuing prescriptions, and sending related notifications.

  • Doctors are independent practitioners. The doctors you consult are responsible for their own clinical judgment, advice, diagnosis, and prescriptions. Uposham provides the technology platform; it does not practice medicine and does not control or guarantee the medical advice given by any doctor.
  • No guarantee of outcome. Telehealth has limitations. A doctor may determine that your condition cannot be assessed or treated remotely and may advise an in-person visit. We do not guarantee any particular diagnosis, treatment, or result.
  • Your responsibility. You are responsible for providing accurate health information and for following, or seeking clarification on, the advice you receive.

4. Accounts

To use certain features you must create or be given an account. You agree to provide accurate information, keep your credentials secure, and remain responsible for activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

Doctors and clinic staff additionally agree to hold and maintain all licenses and registrations required to practice (including, where applicable, valid BMDC registration), to keep their profile information accurate, and to comply with applicable medical, professional, and data-protection obligations.

5. Appointments, payments, and cancellations

  • Booking. Appointments are subject to doctor availability and confirmation. A slot may be held temporarily while payment is pending and released if payment is not completed in time.
  • Fees. Consultation fees are shown before you confirm a booking. You agree to pay the fee for the appointment you book.
  • Payments. Payments are processed through third-party payment providers. We do not store your full card details. Your payment is also subject to the provider’s terms.
  • Cancellation and refunds. Cancellation, rescheduling, and refund eligibility follow the policy shown at the time of booking or otherwise communicated to you. Some fees may be non-refundable once a consultation has taken place.

6. Prescriptions

Any prescription is issued at the sole discretion and professional judgment of the consulting doctor, based on the information available during the consultation. A doctor may decline to prescribe. Prescriptions are provided for your personal use only; do not share, alter, or misuse them. Uposham does not dispense medicines and is not responsible for the availability, pricing, or quality of medicines obtained elsewhere.

7. Video consultations

Video visits are provided through third-party video technology. A stable internet connection and a compatible device are required. We are not responsible for issues caused by your device, network, or the third-party video provider. Join links are time-limited and intended only for the patient and doctor of the relevant appointment.

8. Chat assistant and messaging

The Service includes a chat assistant (including on Facebook Messenger) that helps with booking and general information.

  • The assistant is not a substitute for professional medical judgment and does not provide diagnosis, treatment, or emergency care.
  • Messages you send may be processed by third-party AI and messaging providers to operate the feature (see our Privacy Policy).
  • You agree not to send unlawful, abusive, or deliberately misleading content, and to share only the information reasonably needed for your care.

9. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Impersonate another person or misrepresent your identity or health information.
  • Attempt to access accounts, records, or data that are not yours.
  • Interfere with, disrupt, probe, or attempt to breach the security or integrity of the Service.
  • Scrape, copy, or reuse content or data from the Service except as expressly permitted.
  • Use the Service to send spam or unsolicited messages.

We may suspend or terminate access for conduct that violates these Terms or harms other users, doctors, or the Service.

10. Intellectual property

The Service, including its software, design, text, and branding, is owned by Uposham or its licensors and is protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works except as permitted by these Terms or applicable law. Content you submit remains yours, but you grant us the rights needed to operate and provide the Service.

11. Third-party services

The Service relies on and links to third-party services (for example, video, messaging, AI, and payment providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement, and any warranty regarding medical outcomes or the availability, reliability, or accuracy of the Service. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of liability

To the maximum extent permitted by law, Uposham and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for the independent clinical acts of doctors, which rests with those doctors.

14. Indemnity

You agree to indemnify and hold harmless Uposham from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your infringement of any rights of a third party.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. Certain obligations — including medical record-keeping — continue after termination as required by law. Provisions that by their nature should survive termination (for example, Sections 6, 10, 12, 13, and 14) will survive.

16. Changes to the Service and to these Terms

We may modify or discontinue features of the Service at any time. We may also update these Terms; material changes will be posted here with a new “Last updated” date and, where required, communicated to you. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

17. Governing law

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. Subject to applicable law, the courts of Dhaka, Bangladesh will have jurisdiction over disputes arising from these Terms or the Service.
